Intellectual Property Acknowledgment

Effective Date: June 1, 2025

1. Ownership of Deliverables
Unless otherwise agreed in writing, Hub365 shall retain exclusive ownership of all proprietary deliverables, including custom code, platform configurations, workflows, styling frameworks, and any automation logic developed during the engagement (collectively, “Developed IP”)

2. License to Client
Upon full payment of all fees due, Hub365 grants the Client a non‑exclusive, royalty‑free, worldwide, non-transferable license to use the Delivered IP solely within the Hub365 platform. This license expressly prohibits export, migration, sublicense, or use of Developed IP outside Hub365’s proprietary environment.

3. Reservation of Rights
Hub365 retains all rights, including copyright, patent, trade secret and moral rights, in the Developed IP. Nothing in the agreement shall be construed as a transfer of ownership of Hub365’s underlying tools, templates, or pre‑existing IP.

4. License Restrictions and Prohibition on Reproduction
Client shall not reverse-engineer, reproduce, adapt, export, sublicense, or distribute the Developed IP. Any attempt to replicate or operate assets outside the Hub365 environment is strictly prohibited and constitutes infringement.

5. Migration Restriction Disclaimer
Direct transfer of deliverables or Developed IP into personal HighLevel accounts or other third-party platforms is not supported by Hub365. Such migration is expressly excluded unless otherwise permitted via a separate written license agreement.
